MBO/MBI

Harwood Hutton can help you sell your business to your management team or act for managers who want to become the owners of the business they have served.

If you are an existing owner, a Management Buy Out (MBO) is typically a better, smoother option than a trade sale to another company as you will know the buyer and know that he or she understands exactly what they are taking on. This will usually result in less onerous warranties/indemnities being required.

It is also an opportunity to properly reward your management team and give them the change to take your ‘baby’ to the next level of growth and enjoy the fruits of their success.

Our specialist MBO team will be able to assist you in the transaction by:

  • Acting as an intermediary between both parties during negotiation
  • Providing an independent view on valuation and the commercial terms of the deal
  • Preparing you for meetings with funders – and introducing you to alternative potential funders if required
  • Assisting you in preparing the business plan and financial forecasts
  • Advising you on raising the finance on the right terms and financial structure
  • Project managing the entire process to a successful completion

A Management Buy In (MBI) is a similar transaction but involves the introduction of new management to the business to effect the transaction.
